Director of Tax and Treasury

indie is an Autotech solutions innovator. We focus on edge sensors spanning multiple modalities including LiDAR, radar, ultrasound and vision for Advanced Driver Assistance Systems (ADAS), autonomous vehicles, connected car, user experience and electrification applications.

The Director of Tax and Treasury will oversee the tax functions for indie Semiconductor. Responsible for all tax matters, including global tax planning, forecasting, compliance, international, Federal, state and local tax returns and provisions, transfer pricing, sales tax/VAT filings, TRA, Partnership and Up-C administration, audit defense, and the related public company tax disclosures and ICOFR compliance. The position will also manage all global treasury functions, including cash management, investment strategy, global insurance programs, foreign exchange programs, FBAR reporting, and related administration. This position will report to the Chief Financial Officer.

Job Responsibilities:

  • Oversee accounting for income taxes and tax disclosure in SEC filings, including establishing methodology and tools to compute and report all necessary financial statement tax related disclosures efficiently and effectively. Evaluate current tax reserve and future requirements. Review and approve any tax related account reconciliations.

  • Develop and implement the Federal, state/local, international and any other tax planning strategies and direct tactical efforts to maximize financial statement tax benefits, increase after tax cash flows, and mitigate tax exposures. Efforts include tax-efficient global business structures (including tax-efficient repatriation), transfer pricing, R&D and manufacturing credits, and compliance reporting associated with existing tax incentive grants.

  • Establish efficient processes for tax provision, Up-C exchanges and ongoing TRA valuation requirements

  • Lead the review of the tax implications of new legal entities, operating models or transactions, including tax structuring, contract evaluation and negotiation, tax due diligence, tax risk evaluation, strategic planning and implementation

  • Partner with members across finance, legal, operations and business units on strategic and compliance initiatives

  • Direct US and International tax compliance efforts to ensure all income and transaction (e.g., sales tax, VAT/GST, excise and property) tax returns, extensions, and payments are accurately prepared and timely filed and well documented; oversee expatriate tax equalization and compliance.

  • Direct accounting team on income tax accounting and tax audits; review foreign tax reporting & ensure US GAAP

  • Ensure GAAP and SEC compliance, including ownership of business process documentation and effective design and operation of key controls, responsible for documentation of all relevant tax accounting positions

  • Lead and ensure proper integration of acquisitions from a tax perspective

  • Monitor tax legislation and accounting guidance to ensure proper tax reporting; report on material pending legislation

  • Manage outsourced workstreams and third-party relationships (e.g., external auditors/tax personnel)

  • Manage tax processes; responsible for tax related SOX 404 documentation, control design and remediation

  • Responsible for tax projections for budgets, forecasts and multi-year strategic planning

  • Manage, defend, and negotiate/resolve tax audits

  • Manage all global treasury functions, including cash management, investment strategy, global insurance programs, foreign exchange programs, FBAR reporting, and related administration

  • CPA or Master’s Degree; 15+ years' experience with US GAAP, ASC 740, and SEC regulations

  • 5+ years' experience in a tax function of a SEC Registrant with global operations

  • Significant experience in international corporate and US partnership taxes in publicly companies and/or Big 4.

  • Strong technical tax knowledge in all areas of tax including Federal, International, SALT, Partnership, M&A, and Tax Accounting; detail-oriented, organized, analytical, with a problem-solving mindset

  • Ability to understand/utilize global ERP and tax systems to ensure efficient processing and control

  • Excellent supervisory, interpersonal, teamwork and oral/written communication skills

  • Ability to present technical tax matters in a meaningful and useful way to C-Suite leaders

  • Uncompromising professional ethics and integrity
